This Agreement comprises all of the terms and conditions associated with your enrollment in National Business Incorporators, Inc. Affiliate Program, and such agreement is incorporated by reference when you complete and submit the online affiliate application an acknowledge the terms and conditions check box.  

Enrollment: You must complete and submit the online enrollment application and agree to the terms and conditions of the program.  

Your Commission:  National Business Incorporators, Inc. will pay you a ten (10%) commission on any and all gross sales made by anyone who uses the hyperlink on your web site to purchase any of our products and services. 

Exclusive: You agree that National Business Incorporators, Inc. will be the only Incorporation service on your web site If you have any competing or conflicting products and/or services on your web site, your affiliate agreement will be terminated.

Hyperlink:  National Business Incorporators, Inc. will provide you with the hyperlink, either text or banner for placement on your web site All text and banner hyperlinks must be approved in advance for placement position on your web site Placement of the hyperlink on a page other than the home page or in an inappropriate or non-traffic area will not be accepted.

Affiliate License: Upon becoming an affiliate of National Business Incorporators, Inc., you will have a non-exclusive, nontransferable license to use a hyperlink to our web site, to use our company name, logos, trademarks or slogans, or a combination of such on your web site You agree not to transmit, publish, create, or produce any written material, document, e-mail, and the like without the express written consent of National Business Incorporators, Inc.  We reserve all rights to the intellectual property of National Business Incorporators, Inc. used on your web site You must comply with all applicable laws and regulations. Your license may be terminated at anytime for any unauthorized or misuse of any of our intellectual property. You are not responsible for any reason for the operation, contents and performance of our web site

Our License: Upon becoming an affiliate of National Business Incorporators, Inc., will have the  non-exclusive, nontransferable  license to use a hyperlink to your web site, to use your company name, logos, trademarks or slogans, or a combination of such on our web site for promotion of our affiliate program. We are not responsible for any reason for the operation, contents and performance of your web site

Termination: This agreement may be terminated by either party at any time for any reason upon 14 days written notice. Commissions are only paid while this agreement is in effect.

Disclaimer:  There is no express or implied warranties by National Business Incorporators, Inc. with regard to any of our products and/or services to you or any of your affiliates, subsidiaries, customers and the like. National Business Incorporators, Inc. shall not be liable for any defect, interruption, failure, error, etc. or the consequences of such, in the operation  and maintenance of our web siteNational Business Incorporators, Inc., its agents, employees, subsidiaries, officers, directors, shareholders, etc. shall not be liable or responsible for any consequential, special or incidental damages arising out of this agreement.

Independence:  National Business Incorporators, Inc. hereby disclaims any employment relationship that might be construed by you by your participation in our Affiliate Program. Any and all customers who use the hyperlink on your web site to purchase our products and services are deemed to be customers of National Business Incorporators, Inc. You only obtain rights to the commissions derived through the hyperlink on your web site We reserve the right to change, amend, increase or decrease our products, services and prices at any time and without notice to anyone. We also reserve the right to reject any orders that are derived from the hyperlink placed on your web site for any reason and without notice. Accordingly, no commissions will be paid on rejected orders.

Indemnification: You agree to indemnify and hold harmless National Business Incorporators, Inc., its agents, employees, subsidiaries, officers, directors,  and shareholders, against any and all damages and  liability that arises out of our affiliate agreement as a direct or indirect result by you of any incorrect, inappropriate, misrepresented, etc. advertisement, solicitation, or procurement of any orders by you. National Business Incorporators, Inc. reserves the right to modify, amend, change or alter the terms of this agreement at any time without consent from you. Any and all modifications will be communicated to you in writing  by publication on our web site and you will have the option to agree to such amended terms  and continue as an affiliate of National Business Incorporators, Inc. or terminate our affiliate agreement with you.

Confidentiality:  Each party agrees to keep the contents of our affiliate agreement, and business relationship, including but not limited to, any financial and pricing information, customer lists and information, contractors, subcontractors, vendors, and sales information, confidential.

Assignment: This agreement or any or any of its contents, rights and the like, may not be assigned without the written consent of National Business Incorporators, Inc.. This agreement constitutes the entire agreement between the parties and there are no oral representation expressed or implied. If any part of this agreement is found to be invalid for any reason, the remaining parts of this agreement shall remain in force.

Choice of Law: Both you and National Business Incorporators, Inc. agree that the laws of the State of Nevada shall apply to any and all matters that arise under the terms of this agreement.

Agreement: Your submission of the program enrollment form and acknowledgment and selection of the box which indicates that you have read and agree to the terms of the affiliate program agreement shall constitute your acceptance of the terms of this agreement, that it has been executed by an authorized agent of your company, corporation or business entity, and that you are legally bound to its terms and conditions.
